Terms of Service

1. Agreement to Terms

By accessing or using Axiom ("Service"), operated by DarkWave Studios LLC ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

Axiom is a deterministic artificial intelligence agent platform. It is not a general-purpose AI chatbot, large language model, or probabilistic inference engine. All outputs are produced through a fixed, auditable, deterministic pipeline.

2. Description of Service

Axiom provides:

• Deterministic AI Agent: A 42-module processing pipeline that produces cryptographically certified, reproducible responses to natural-language queries.
• API Access: REST and WebSocket APIs for programmatic integration (Developer tier and above).
• Voice Interaction: Text-to-speech and speech-to-text capabilities via third-party providers (ElevenLabs, OpenAI Whisper, Twilio).
• SMS/Phone: SMS and voice call interaction via Twilio telephony services.
• Audit Trail: Cryptographic SHA-256 audit ledger recording all pipeline events.

3. Account Registration

To access certain features, you must create an account by providing a valid email address and password. You are responsible for maintaining the confidentiality of your account credentials and API keys. You agree to immediately notify us of any unauthorized use of your account.

You must be at least 18 years old to create an account. By creating an account, you represent and warrant that you meet this age requirement.

4. Subscription Tiers and Billing

Axiom offers four subscription tiers:

• Free: 100 queries/month, limited features, no API access.
• Developer ($29/month): 5,000 queries/month, API access, audit export.
• Business ($149/month): 50,000 queries/month, WebSocket, custom ontologies and templates, webhooks.
• Enterprise ($499+/month): Unlimited queries, white-label, dedicated support, custom voice, SLA.

Billing is processed through Stripe. Subscriptions renew automatically on a monthly basis unless cancelled. You may cancel your subscription at any time through the billing dashboard. Cancellation takes effect at the end of the current billing period.

No refunds will be issued for partial months or unused queries.

5. API Keys and Usage Limits

API keys are issued per account and must be kept confidential. Sharing API keys with unauthorized third parties is prohibited. Rate limits are enforced per tier. Exceeding rate limits will result in HTTP 429 responses. Repeated or intentional abuse of rate limits may result in account suspension.

6. Acceptable Use

You agree not to:

• Use the Service for any illegal, harmful, or fraudulent purpose.
• Attempt to reverse-engineer, decompile, or extract the source code of the pipeline modules.
• Attempt to circumvent rate limits, authentication, or security measures.
• Use the Service to generate spam, phishing content, or malicious communications.
• Impersonate any person or entity, or misrepresent your affiliation.
• Upload malicious content designed to exploit the pipeline (code injection, prompt injection, etc.).
• Resell or sublicense access to the Service without a written Enterprise agreement.

7. Deterministic Guarantees and Limitations

Axiom guarantees that identical inputs processed through an identical agent state will produce identical reasoning paths (AX-01 Invariance). However:

• Axiom is not a general-knowledge system. It operates within defined ontological boundaries.
• Responses are generated from deterministic templates, not generative AI models. They may not satisfy subjective expectations of creativity or nuance.
• The Service is provided "as is" without warranty of fitness for any particular purpose.

8. Intellectual Property

The Axiom platform, including its 42-module pipeline architecture, DPCL communication layer, LDIR inference rulebook, and all associated documentation, is the intellectual property of DarkWave Studios LLC. Patent applications are pending (U.S. Provisional Patent Applications).

You retain ownership of your input data and any custom ontologies or templates you upload. By using the Service, you grant us a limited license to process your input data solely for the purpose of providing the Service.

9. SMS and Telephony Terms

If you opt in to SMS notifications:

• You consent to receive recurring automated SMS messages from Axiom at the mobile number provided.
• Message and data rates may apply. Contact your wireless carrier for details.
• Message frequency varies based on your usage.
• Reply STOP to unsubscribe at any time. Reply HELP for assistance.
• Consent to receive SMS is not a condition of purchasing any goods or services.
• Supported carriers include AT&T, Verizon, T-Mobile, Sprint, and most major U.S. carriers.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DARKWAVE STUDIOS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless DarkWave Studios LLC, its officers, directors, employees, and agents from and against all claims, liabilities, damages, losses, and expenses arising from your use of the Service or violation of these Terms.

13. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to registered users at least 30 days prior to taking effect. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

14. Termination

We may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or abuse of the Service. Upon termination, your right to use the Service ceases immediately. We will retain audit logs as required by applicable law.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of [Your State], without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in [Your County/State].
